Refund Policy

This Refund Policy describes the terms under which Procurax handles subscription cancellations, refunds, service credits, and billing errors.

1. Overview

This Refund Policy describes the terms under which Procurax Inc. (“Procurax,” “we,” “us,” or “our”) handles subscription cancellations, refunds, and credits. This policy applies to all paid subscriptions for the Procurax enterprise procurement platform.

We encourage you to review this policy carefully before subscribing. By completing a purchase, you acknowledge and agree to the terms described herein. For enterprise customers with a signed Master Service Agreement (MSA), the MSA terms governing refunds and termination shall prevail over this policy.

2. Annual Subscriptions

No Refunds on Annual Plans: Annual subscriptions are billed in advance for the full subscription term. Except as described below, Procurax does not provide refunds for annual subscription fees, including in cases where a customer stops using the platform or requests early termination during the subscription term.

Non-Renewal: To avoid renewal charges, you must provide written notice of non-renewal at least 60 days before your annual renewal date. You may cancel by emailing support@procurax.io with your account details and cancellation request.

Exceptions: Refunds or credits for annual subscriptions may be considered in exceptional circumstances, including: (a) Procurax fails to deliver the Services in material accordance with the service level agreement for a sustained period; (b) a material feature listed in your Order Form is removed without an adequate replacement; or (c) applicable consumer protection law in your jurisdiction requires a refund right that cannot be waived.

3. Monthly Subscriptions (Growth Plan)

30-Day Cancellation: Monthly subscribers may cancel their subscription at any time with 30 days' written notice. Your access to the platform will continue until the end of the current billing period following your notice of cancellation.

Refunds on Monthly Plans: We do not provide partial refunds for unused days within a billing period. Your subscription remains active and billed through the end of the current billing period after you submit a cancellation notice.

How to Cancel: Email support@procurax.io from the email address associated with your account administrator, stating your intention to cancel and your account name. We will confirm receipt within 1 business day and process the cancellation accordingly.

4. Free Trials and Pilot Programs

Where Procurax offers a free trial or pilot period, no charges are incurred during the trial. At the conclusion of the trial, your subscription will automatically convert to a paid plan unless you notify us in writing before the trial period ends.

If you cancel before the trial period ends, you will not be charged. We do not offer refunds for charges that arise from failing to cancel before a trial period expires if you were notified of the conversion terms at the time of trial activation.

5. Service Level Credits

Procurax commits to platform availability as described in our Service Level Agreement (SLA). If we fail to meet the applicable availability commitment in a given calendar month, you may be eligible for a service credit applied to your next invoice.

Service credits are calculated as a percentage of monthly fees proportional to the duration of the downtime event. Credits are the sole remedy for SLA failures and do not constitute a right to a cash refund. Enterprise customers on our Enterprise and Enterprise Plus plans receive enhanced SLA terms and credit schedules as specified in their Order Form.

To claim a service credit, you must submit a written request to support@procurax.io within 15 days of the end of the month in which the SLA failure occurred.

6. Billing Errors

If you believe you have been charged in error, please contact us at support@procurax.io within 60 days of the charge date. We will investigate your claim and, if an error is confirmed, issue a credit or refund for the incorrect amount within 10 business days.

Billing disputes submitted after 60 days of the charge date will generally not be eligible for refund consideration, except where required by applicable law.

7. Refund Processing

Where a refund is approved, it will be processed within 10 business days of approval. Refunds are returned to the original payment method used at the time of purchase. Please note that your bank or card issuer may take an additional 3–5 business days to reflect the credit in your account.
